RCADYA is currently operated by an individual developer as an unincorporated project in early-access beta. NO LEGAL ENTITY HAS BEEN INCORPORATED. No company registration number exists at the time of these Terms.

By using this Platform you acknowledge that:

  1. You are transacting with an individual, not a registered company
  2. Formal incorporation and legal review are in progress
  3. These Terms will be superseded by a legally reviewed version upon incorporation
  4. Maximum deposit during beta is strictly limited to $50 USDC per user
  5. You use this Platform entirely at your own risk

BETA PLATFORM DISCLAIMER: RCADYA is currently in early-access beta. The Platform, its games, and all underlying systems are under active development. Bugs, outages, access issues, and unexpected behavior may occur at any time, our team is doing its best.

FINANCIAL RISK: Participation involves real USDC held in a custodial wallet system managed by RCADYA. You may lose some or all due to technical failures, Platform issues, user error, hacks, or other events. RCADYA does not guarantee recovery of lost funds.

NO REFUNDS: All transactions, deposits, wagers, and balance adjustments are final once processed. RCADYA has no obligation to reimburse any losses during beta operations, but if a match is interrupted because of a server problem the funds will come back.

JURISDICTIONAL RESPONSIBILITY: It is your sole responsibility to verify that using the Platform is legal and permitted where you are currently located. RCADYA accepts no liability for use in restricted or prohibited jurisdictions since zones are always subject to changes.

By accessing or using the Platform, you confirm you have read, understood, and accepted these Terms in full.

Introduction

These Terms and Conditions (“Agreement”) govern your access to and use of the RCADYA website, applications, and services (collectively, the “Platform”), operated by RCADYA (“we,” “us,” “our”). By registering an account or using the Platform in any way, you agree to be bound by this Agreement. If you do not agree, you must not access or use the Platform.

This Agreement serves as a temporary framework during RCADYA’s early-access beta phase and will be superseded by a revised, legally reviewed version upon formal company incorporation. We reserve the right to update these Terms at any time. Material changes will be posted on the Platform via email to all the users.

1. Platform Overview

RCADYA is a skill-based multiplayer Gaming Platform where users compete in real-time matches by wagering USDC. All match outcomes are determined exclusively by player skill — no element of chance is ever involved in determining the winner.

Funds are deducted only when the match starts, not upon entering any matchmaking.

2. Accounts and Eligibility

You must be at least 18 years old to use the Platform. By registering, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this Agreement.

Jurisdictional Responsibility: It is your sole and exclusive responsibility to determine whether using the Platform, including wagering real USDC in skill-based matches, is legal in your jurisdiction. RCADYA provides no legal advice and makes no representation regarding legality anywhere. If you are unsure, do not use the Platform. We may restrict access from certain jurisdictions at any time if required or requested.

You are fully responsible for maintaining the confidentiality of your login credentials and for all activities under your account. We help with the mandatory email two factor authentication but notify us immediately of any unauthorized access. Accounts are non-transferable.

3. Wallet and Fund Management

RCADYA operates a custodial wallet system. This means your USDC balance is held on your behalf by RCADYA in wallets we control (including hot wallets for operations and Ledger hardware cold storage). You do not hold the private keys.

You are trusting RCADYA to safeguard and accurately account for your funds. This carries inherent risks, including hacks, operational failures, insolvency, or regulatory action. RCADYA is not liable for losses resulting from such events during the beta phase.

During beta, deposits are strictly capped at $50 USDC per user. Deposits above this limit may be returned at our discretion but are not guaranteed to be recovered.

Deposits are credited upon on-chain confirmation. Withdrawal requests are processed manually during beta and may take up to 72 hours or more in particular cases. We may require identity verification (KYC) for your own safety before approving withdrawals.

On-chain transactions are irreversible once confirmed. All in-platform balance adjustments are final. Do not deposit more than you are willing to lose entirely. USDC stability is not guaranteed by us but by the dollar and blockchain stability.

4. Fair Play and Prohibited Conduct

RCADYA maintains a zero-tolerance policy for conduct that undermines fair competition. Strictly prohibited activities include:

Violations will result in immediate suspension or permanent ban, forfeiture of all balances, and potential referral to law enforcement or regulatory authorities.

AML Compliance: You represent that you are not subject to sanctions, are not on any government watchlist (including OFAC SDN), and that all funds deposited come from lawful sources. We may freeze or terminate accounts pending AML review at any time.

5. Intellectual Property

All content, design, code, trademarks, graphics, and materials on the Platform are owned by or licensed to RCADYA. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial purposes only. You may not copy, reproduce, modify, reverse engineer, or create derivative works without prior written consent.

Third-party game developers retain ownership of their games. Revenue sharing for “notOurs” games is governed by separate agreements.

6. Disclaimers and Limitation of Liability

The Platform is provided “AS IS” and “AS AVAILABLE” without any warranties, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of defects.

To the maximum extent permitted by applicable law, RCADYA’s aggregate liability arising out of or related to this Agreement shall not exceed the total amount deposited by you on the Platform in the 30 days preceding the claim, up to a maximum of $50 USD.

RCADYA shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.

7. Indemnification

You agree to defend, indemnify, and hold harmless RCADYA, its operators, affiliates, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, your violation of any third-party rights, or any misrepresentation you make.

8. Modifications to the Platform and Terms

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time without liability. We may update these Terms at any time. Continued use after changes constitutes your acceptance of the new Terms. Upon formal incorporation, you will be notified via email or home page.

9. Dispute Resolution and Governing Law

This Agreement is currently governed on a best-efforts basis pending formal incorporation of RCADYA as a legal entity. The parties agree to attempt in good faith to resolve any dispute through direct negotiation via email at rcadyagaming.user@gmail.com within 30 days of written notice.

Upon formal incorporation, this Agreement will be updated to specify the applicable governing law and dispute resolution mechanism, and users will be notified accordingly.

To the extent any law must be applied prior to formal incorporation, the parties agree to apply generally accepted principles of international commercial law as a neutral framework. Any dispute not resolved by good-faith negotiation shall be referred to binding arbitration under the ICC Rules, conducted in English, with the seat and procedural rules to be mutually agreed upon by the parties.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

This section survives termination of the Agreement.
